From structuring to ongoing compliance, Rengangyongsheng (Hong Kong) Limited works with you at every key stage.
Whether establishing a new fund, transferring interests or undertaking an acquisition and restructuring, we help clarify the most suitable route for you.
01From fund strategy to legal structure, coordinate GP, LP, IM and RP arrangements, connecting documentation, registration, account opening and ongoing compliance.
02Define the transaction scope for LP interests, equity in the GP entity and role changes, addressing consents, historical liabilities and closing conditions upfront.
03Review the fund's history, assets and conditions for ongoing operations, from target screening and legal and financial due diligence to transition arrangements for changes.
An LPF is registered under the Limited Partnership Fund Ordinance, with a written limited partnership agreement linking general and limited partners. It is commonly used for private equity, venture capital and family wealth investment structures.
Registration is not a financial services licence and does not automatically confer tax exemption. The investment manager's actual activities, fundraising methods and cross-border arrangements still require item-by-item verification.

The GP bears management and ultimate responsibility, while the LP has limited liability in principle; the IM and RP perform investment and anti-money laundering functions respectively.
