Illustrative brand scene: legal due diligence

An LPF is not a licence, and an 'acquisition' is not a simple transfer.

A transaction may involve LP interests, equity in the GP entity, replacement of the GP, or the assumption of assets or contracts. Consents, regulation, tax and historical liabilities at different levels must be assessed separately. LPF registration does not transfer an SFC licence to the buyer or automatically extinguish existing liabilities.

DEFINE THE TRANSACTION · Define the transaction subject

First clarify: what is actually being transferred?

01

Transfer of LP interests

Transfer capital contribution interests, profit entitlements and other rights under the partnership agreement. Key considerations are LPA restrictions, contribution obligations, transferee eligibility and register updates.

02

GP company share transactions

Sale or acquisition of shares in the company acting as GP. The LPF's statutory GP company may remain unchanged, but control, corporate compliance and licensed status must be reviewed separately.

03

GP replacement and fund restructuring

Exit or replace the statutory GP and adjust management and governance. Check the fund agreement, partner consent, prescribed change notifications and continuity of bank mandates.

TRANSACTION WORKFLOW · Complete Workflow

From transfer intent to conditional completion.

  1. 01

    Confirm the transfer route

Distinguish transfers of LP interests, sales of shares in the GP entity, GP withdrawal/replacement and asset sales; avoid describing different transactions collectively as transfers of ownership.

  2. 02

    Review transfer restrictions

Check consent rights, rights of first refusal, eligibility, lock-up periods, unpaid capital contributions, key person provisions and exit terms in the LPA and Side Letter.

  3. 03

    Data room and price discussions

Compile contribution and distribution records, asset valuations, liabilities, service agreements, historical tax and compliance records, and explain the basis of the quotation and transaction scope.

  4. 04

    Buyer Due Diligence and Admission

Conduct identity, UBO, source of funds, sanctions and applicable investor eligibility checks; these cannot be omitted because the transaction is “between acquaintances”.

  5. 05

    Agreements and Consent Documents

Agree on closing conditions, representations and warranties, allocation of costs and taxes, liability for outstanding contributions, and mechanisms for disputes and indemnification for historical liabilities.

  6. 06

    Coordination of closing and registration

Complete the consideration, interest documentation and register updates; if statutory particulars such as the GP change, notify the competent authority using the applicable forms and within the applicable deadlines.

DUE DILIGENCE · Checks That Must Not Be Overlooked

What truly matters,
often lies beyond the registration certificate.

We consider transaction structures together with operational facts to avoid discovering liabilities, restrictions and information gaps only after closing.

A WELL-DEFINED NEXT STEP

Set clear boundaries for transfer arrangements.

First discuss your objectives and the fund’s current position, then determine the appropriate transaction structure and scope of services.
