This topic separates Hong Kong Limited Partnership Fund (LPF) annual returns to the Companies Registry, annual financial statements and audits, business registration, profits tax returns, Unified Fund Exemption (UFE), record retention and the scope of AEOI into independent calendars. The key conclusion is: LPF5 must be submitted within 42 days after the registration anniversary, not by reference to the financial year end; LPF financial statements/audits, IRD tax returns and BR renewals each have their own triggering facts.

Establish a clear annual work calendar for the fund, separately checking LPF5, audited financial statements, tax notifications, business registration and the independent obligations of licensed service providers, and assign each task to a responsible person and an evidence file.

This page was prepared by Rengangyongsheng (Hong Kong) Limited and explained by Drew Tang (Drew Tang), Business Manager. It is solely general website information and a working draft for compliance communications, not case-specific legal, tax, audit, investment or regulatory advice. Deadlines, fees, auditor qualifications, tax forms, UFE conditions, AEOI classifications and SFC obligations must all be checked against current official pages, LPF documents, the actual entities and professional advisers; no uniform annual review deadline, fixed annual package price or tax exemption may be promised on this basis.

01 / ANNUAL COMPLIANCE

1. LPF5 Annual Return: Triggered by the Registration Anniversary, Not the Financial Year-End

The Companies Registry FAQ states clearly that the GP must submit an annual return using LPF5, together with the correct fee, within 42 days after each anniversary of the registration date on the LPF certificate of registration. LPF5 must also declare whether the fund conducted fund business in the past 12 months and whether the GP assesses that it will conduct fund business in the next 12 months. The trigger is the registration anniversary, not the financial year end or the business registration certificate renewal date.

The Companies Registry's specified forms page currently lists the normal LPF5 fee as HK$105. Late fees should be checked against the Cap.637 fee items applicable at the time and the official fees page; this feature does not conflate company annual return rates, tax filing fees, audit fees or so-called annual service package prices, nor does it promise a single fixed annual compliance deadline.

LPF5, annual financial statements/audit, profits tax filing and business registration renewal follow four separate calendars. Record separately the anniversary date of the certificate of registration, the fund's financial year-end date, the deadline on the IRD tax return notice and the expiry date of the business registration certificate.

Annual tasks and evidence checklist

  • Check the anniversary date against the certificate of registration and work backwards to schedule the 42-day LPF5 deadline; do not substitute the financial year end.
  • Use the current specified LPF5 form and fees page. Late filing fees are determined by the current official page.
  • File the receipt for submission of LPF5 to CR separately from audit, tax and BR documents.
02 / ANNUAL COMPLIANCE

II. Annual financial statements and independent audit: statutory ongoing obligations of an LPF, not equivalent to filing with CR

Cap 637 requires an LPF to prepare financial statements for its financial year and have them audited by an auditor appointed by the GP. The auditor cannot be just any accounting service provider: the official text of section 21 of Cap 637 requires the appointee to be a practice unit as defined in the Accounting and Financial Reporting Council Ordinance and to be independent of the fund's GP and investment manager; before appointment, the auditor should confirm its registration/practising status, independence and conflicts.

Audited financial statements should reflect the fund’s books, assets, liabilities, transactions, capital calls, distributions, valuations and necessary tax support. The financial year-end is determined by Cap.637, the fund arrangements and the applicable accounting basis; it does not change the rule that LPF5 is calculated by reference to the registration anniversary.

The CR FAQ lists audited financial statements among the records that the GP or investment manager must retain, but does not require an LPF to file its full annual audit report with the Companies Registry as a routine attachment to LPF5. Therefore, submitting the audit report to CR every year cannot be presented as a universal conclusion on the website. Statutory retention, delivery to investors, attachments to IRD tax returns and CR-specified forms must be distinguished.

Annual tasks and evidence checklist

  • Retain the GP's resolution appointing the auditor, the audit engagement letter, independence confirmation and evidence of practice unit status/practising qualifications.
  • Compile a complete audit file for each financial year; do not use the LPF5 submission date as the financial reporting year-end date.
  • Prepare documents for submission to the CR only in accordance with the applicable specified forms and official requirements; do not automatically attach financial statements to LPF5.
03 / ANNUAL COMPLIANCE

3. GP, investment manager and authorised representative: outsourcing cannot break the chain of responsibility

The GP is responsible for the management and control of the LPF and bears ultimate responsibility under Cap.637. The GP must appoint an investment manager to perform day-to-day investment management functions. The GP may also act as investment manager if the conditions are met, but doing so does not confer an SFC licence or remove financial reporting, audit, recordkeeping and oversight obligations.

The investment manager is responsible for day-to-day investment management. Where functions are delegated to a Hong Kong or overseas service provider, evidence of the scope of delegation, authority, due diligence, ongoing supervision, escalation and revocation must still be retained. Whether the delegate carries on Type 9 or other regulated activities in Hong Kong must be assessed by reference to its actual activities.

An authorised representative (AR) is not automatically required for every LPF, and is not the same role as the RP. For certain forms of non-Hong Kong GP, the AR assumes the representative duties and joint liability prescribed by Cap.637; the RP is the person appointed by the GP under Schedule 2 to Cap.615 to implement AML/CTF measures. Changes to GP, IM, RP or AR appointments or particulars must be handled using event forms such as LPF4B, LPF4C and LPF9 within the statutory deadlines, without waiting for LPF5.

Annual tasks and evidence checklist

  • Establish a GP—IM—RP—AR responsibility matrix identifying statutory appointments, contractual authority, signing authority and evidence of oversight.
  • If asset management is undertaken by a licensed IM, verify the licensed entity and its audit and SFC filing dates; do not impose the licensed IM's obligations on the LPF.
  • When changing roles, concurrently hand over outstanding transactions, banking authorities, valuations, AML files, audit materials and historical liabilities.
04 / ANNUAL COMPLIANCE

4. CR Filing and Record Retention Boundaries: Retaining Financial Statements Does Not Mean Filing Them for Public Access

The CR FAQ lists the records an LPF must retain, including audited financial statements, the register of partners, CDD obtained under Cap.615 and customer files/correspondence, documents and records for each transaction, and information on each partner's controlling persons. The GP or investment manager should ensure that records are retained under section 29 of Cap.637 and are available for regulatory inspection when required.

Section 29 of Cap 637 requires documents and records for each transaction to be retained for at least 7 years (from completion of the transaction). This does not mean that all LPF information is subject to a uniform 7-year retention period, nor that retention periods for AML information need not be calculated separately under Cap 615. The CR FAQ also states that records under section 29 are not available for public inspection.

CR-specified forms cover registration, LPF5, address/record location/investment scope, GP/IM/RP/AR particulars, dissolution and other events. Audited financial statements may be supporting records that must be retained and may need to be provided to IRD/investors, but an audit report must not invariably be treated as an annual filing attachment to LPF5.

Annual tasks and evidence checklist

  • Use transaction completion dates to establish a Cap.637 transaction record retention calendar of at least 7 years.
  • Create tiered indexes for audited financial statements, the LP register, CDD, transaction documents and controller information.
  • Retain forms, signatures, payment records and acknowledgements for CR filings; separately retain certified financial statements and tax computations for IRD filings.
05 / ANNUAL COMPLIANCE

5. Business Registration Renewal and Notification of Commencement: A BR Certificate Is Neither LPF5 nor a Profits Tax Return

An LPF application is usually submitted through CR together with IRBR4, the business registration fee and levy; IRD states that the commencement date of the business registration certificate is the LPF registration date. The certificate’s validity period, renewal amount and effective date are determined by the BR certificate and IRD’s current fee schedule, not by the LPF registration anniversary or the LPF5 fee.

After an LPF commences business, it must notify IRD in writing within 1 month of commencement of the business description, nature, commencement date and related information. This may be done by letter or IRBR200A in accordance with IRD's arrangements. This one-month notification is a separate tax/business registration information obligation and does not mean that BIR52 filing has been completed.

BR renewal should follow the expiry date shown on the certificate and IRD's current renewal arrangements. This topic does not state a uniform fixed annual package price or bundle BR fees, LPF5 fees, audit fees and profits tax service fees into a single quote.

Annual tasks and evidence checklist

  • Record the BR certificate commencement and expiry dates, validity period and IRD renewal payment receipts.
  • Complete IRBR200A/written notification within 1 month after commencing or resuming business (if applicable).
  • Check BR change notifications, CR event filings such as LPF4A, and tax filings separately.
06 / ANNUAL COMPLIANCE

6. LPF profits tax and BIR52: file according to entity status and IRD notices; do not treat UFE as an exemption from filing

An LPF is not a company. IRD's BIR52 notes list the general partner in the LPF / authorized representative / investment manager as signatories who may submit the profits tax return for an unincorporated entity, so profits tax filing at LPF level usually uses BIR52 rather than BIR51. BIR51 is the Profits Tax Return—Corporations and applies to the corporation itself. If the GP or IM is a separate corporation with a taxable business, it must still handle BIR51 independently for its own business; the corporation's return cannot be treated as the LPF's LPF5 or BIR52. Ultimately, the tax return issued by IRD, the entity to which the tax file relates and the notices govern.

IRD's BIR52 information requirements include supporting information such as a certified statement of financial position and profit and loss/statement of comprehensive income. The BIR51 notes also require corporations to submit certified audited financial statements or applicable detailed financial information. Having audited financial statements under Cap.637 does not mean that an LPF is automatically exempt from submitting all information to IRD, nor that the GP company and the LPF may file jointly.

DIPN 61 explains that the Unified Fund Exemption (UFE) is conditional: the fund definition, qualifying transactions and either the specified person route or the qualifying investment fund route must first be satisfied, and tests concerning incidental transactions, private companies/SPEs and resident investor anti-avoidance must be addressed. LPF registration itself is neither a tax exemption certificate nor an exemption from filing tax returns. If IRD issues a tax return, it should be completed by the deadline stated on the form and submitted with the required evidence, even if all profits are considered exempt, there are no assessable profits or there are only losses.

Annual tasks and evidence checklist

  • First confirm the entity covered by the tax file, the form number and the signatory; do not infer BIR51/BIR52 from the LPF’s name.
  • Compile the LPF audited financial statements, IRD-certified financial statements, tax computations, UFE tests and filing receipts into an evidence pack for the same year.
  • Open separate tax entity files for GP/IM corporations; filing deadlines applicable to licensed entities or manager entities must not be applied to the LPF.
07 / ANNUAL COMPLIANCE

7. Tax return notices, first filings, losses and extensions: build the calendar solely on the facts and IRD circulars

The profits tax filing deadline is not the 42-day LPF5 deadline. The IRD 2026/27 tax representatives' circular states that taxpayers who have received returns should file by the deadline on the first page; represented cases with N/D/M accounting date codes are subject to that year's block extension arrangements. This circular must not be recast as requiring every LPF to file in month 1, month 3 or any single fixed month.

The IRD circular also explains that a new partnership business usually receives its first profits tax return about 18 months after commencing business, but IRD may issue an earlier provisional tax return depending on the circumstances. A person chargeable to tax who has not received a tax return must, in principle, notify IRD in writing of chargeability within 4 months after the end of the basis period for the relevant year of assessment. This 4-month period is not the LPF5 deadline, nor does it mean that all LPFs that have not received a return may remain silent and not report.

The usual 1-month period, the 3-month period for first returns, and extensions for electronic filing or tax representatives may be used only under the applicable IRD tax return, the current year’s circular, accounting date code, electronic filing eligibility and approved applications. An extension is not an automatic entitlement; late filing may result in estimated assessments or penalties. A business loss does not mean there is no notification or filing obligation, particularly where a tax return has been received or notification of chargeability or resumed profitability is required.

Annual tasks and evidence checklist

  • Treat the deadline on the actual IRD tax return as the primary date, and retain receipt/electronic delivery records.
  • For the first tax return or where no return has been received, assess the position by reference to the basis period, whether the earning of chargeable profits has commenced or resumed, and IRD notification rules.
  • When applying for an extension, record the applicable accounting date code, electronic filing conditions, representative status and approval/acknowledgement; do not present the 2026/27 block arrangements as permanent rules.
08 / ANNUAL COMPLIANCE

Eight. AML, tax records and FATCA/CRS/AEOI: classify within legal boundaries, rather than report indiscriminately

The IRD’s BIR51/BIR52 notes require persons carrying on business to retain business records sufficient to calculate assessable profits for at least 7 years, counted from the dates of the relevant transactions. Cap.637 separately requires LPF transaction documents to be retained for at least 7 years. The retention periods for CDD and transaction records under Schedule 2 to Cap.615 form a separate regime. It is incorrect to describe all AML materials broadly as subject to a 7-year period, or to mislabel the 7-year tax retention period as an AML period. Check the record category and the statutory starting point, such as the end of the business relationship or completion of an occasional transaction. The AML retention period for relevant CDD and transaction records under Schedule 2 to Cap.615 is at least 5 years, but must be checked against the record category and statutory starting point.

AEOI/CRS and FATCA do not mean that all LPFs automatically report without exception. The IRD FAQ states that AEOI covers custodial institutions, depository institutions, investment entities and specified insurance companies, but a financial institution has AEOI obligations only if it is a Hong Kong resident or Hong Kong branch that qualifies as a reporting financial institution. Whether it is an investment entity, is managed by a financial institution and has reportable accounts must be assessed based on actual income, management mandates, accounts and tax residence self-certifications.

Licensed investment managers, SFC-licensed corporations or other financial institutions may have their own obligations concerning annual audited accounts, SFC annual returns, financial resources returns or AEOI. Under official SFC requirements, licensed corporations must generally submit audited accounts within 4 months after the end of each financial year and annual returns within 1 month after their licence anniversary date; these rules apply to licensed entities, are not uniform LPF deadlines and must not be applied to LPFs by analogy.

Annual tasks and evidence checklist

  • Establish separate retention calendars for tax records (7 years), Cap.637 transaction records (7 years) and AML records under Cap.615, recording their different commencement points.
  • Determine CRS/FATCA/AEOI classifications by entity and management mandate, and retain self-certifications, classification assessments and grounds for reporting or non-reporting.
  • List the audit, annual return, financial resources and AEOI obligations separately for the LPF, GP, IM, custodian and SFC-licensed corporation.

Audit and Annual Compliance FAQs

01Should LPF5 be submitted based on the financial year end or the registration anniversary?

Based on the registration anniversary. The GP must submit LPF5 within 42 days after each anniversary of the LPF registration certificate; the financial year-end date is used for financial reporting/audit and tax analysis and cannot replace the LPF5 trigger date.

View official sources
02What is the normal LPF5 fee?

The Companies Registry's specified forms page currently lists the normal LPF5 fee as HK$105. Late fees must be checked against the fee items applicable at the time, not replaced with ordinary company annual return rates or a fixed annual service package price.

View official sources
03Must an LPF prepare and audit financial statements every year?

Cap 637 requires LPF financial statements to be prepared for each financial year and audited by an auditor appointed by the GP. The auditor must meet the statutory qualification and independence requirements under section 21 of Cap 637 and must at least be a relevant practice unit; current registration status and conflicts should be checked before appointment.

View official sources
04Must the LPF annual audit report be submitted to CR with LPF5 every year?

The current official FAQ lists audited financial statements as records to be retained, but does not list the full annual audit report as a routine LPF5 attachment. Submit in accordance with the CR specified form and provide materials separately as required by the IRD, investors and other regulators.

View official sources
05Should an LPF file profits tax using BIR51 or BIR52?

An LPF is not a company. IRD's BIR52 notes expressly list the LPF's GP, AR or IM as signatories who may submit that return, so BIR52 is usually used at LPF level. BIR51 applies to the corporation itself; the business tax file of a GP or IM corporation must be assessed separately. Ultimately, the form actually issued by IRD and the entity to which the tax file relates govern.

View official sources
06If an LPF qualifies for UFE or another tax exemption, can it refrain from filing tax returns?

There is no blanket exemption from filing. UFE is a conditional tax exemption: LPF registration does not automatically satisfy the fund definition, qualifying transactions, specified person/qualifying investment fund routes, incidental transactions, anti-avoidance requirements or other conditions. If an IRD tax return is received, it must be submitted within the deadline stated in the notice, with financial statements and testing working papers supporting the exemption claim.

View official sources
07Do the usual 1-month tax return deadline, the 3-month deadline for first returns and extensions apply to all LPFs?

It cannot be stated this way. Tax return deadlines depend on the return actually issued by IRD, the accounting period, the circumstances of the first filing, the tax representative and the circular for that year; the N/D/M extensions in the 2026/27 circular are arrangements for that year. A new partnership business usually receives its first return after approximately 18 months, but IRD may issue a provisional tax return earlier.

View official sources
08Does not receiving a profits tax return mean there is no need to notify the IRD?

If a person is chargeable to tax and has not yet been required to submit a return, section 51(2) of the IRO generally requires written notification to the IRD within 4 months after the end of the relevant basis period. The IRD also highlights situations involving newly commenced businesses, resumed earning of chargeable profits, or persons who have ceased receiving returns annually. Once a return is received, it must still be filed by the deadline stated on it.

View official sources
09Does an LPF loss mean there is no filing obligation?

They are not equivalent. Losses may need to be reported in a BIR52 already received to preserve records and support carry-forward analysis; where no return has been received, whether notification is required depends on facts such as whether tax chargeability has arisen or profitability has resumed, and on IRD rules. 'No tax payable' must not be described as 'no notification or tax return required'.

View official sources
10Must tax records, Cap.637 transaction records and AML records all be retained for 7 years?

These are not the same rule. Tax business records and transaction documents under Cap.637 each have a retention requirement of at least 7 years; AML CDD/transaction records under Cap. 615 have separate statutory periods and starting points, so all AML information must not be indiscriminately grouped under a 7-year period. The retention period for relevant AML records under Schedule 2 to Cap. 615 is at least 5 years, but must be checked by record category and starting point, such as the end of the business relationship or completion of the transaction.

View official sources
11Must all LPFs make FATCA/CRS/AEOI filings?

No. AEOI obligations apply to financial institutions that are Hong Kong reporting financial institutions; it is necessary first to determine whether the entity is a financial institution, such as an investment entity, whether it is managed by a financial institution and whether it has reportable accounts. The LPF designation alone does not establish a blanket reporting requirement. FATCA must also be addressed according to the applicable entity classification and account facts.

View official sources
12Can the 4-month audit deadline for an SFC-licensed investment manager be treated as the LPF deadline?

No. The SFC's official 4-month deadline for audited accounts and 1-month deadline after the licence anniversary for annual returns apply to licensed corporations/relevant licensed entities; an LPF must still deal separately with annual financial statements and audits under Cap. 637, the LPF5 deadline of 42 days after the registration anniversary, and IRD tax return notices.
